Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you ("Customer," "you," or "your") and Scrub App Inc., a Delaware corporation ("Scrub," "we," "our," or "us"), governing your access to and use of the Scrub platform and all related services (collectively, the "Service").

By creating an account, clicking "I agree," or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a business, you represent that you have the authority to bind that business to these Terms.

If you do not agree, do not use the Service.

About Scrub

Scrub is an all-in-one business operations platform built exclusively for the cleaning industry. The Service includes tools for scheduling, client relationship management (CRM), team management, payments and invoicing, analytics, and an AI-powered assistant ("Scrub AI") — all designed to help cleaning businesses run more efficiently.

Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be operating a legitimate cleaning business or acting on behalf of one
• Have the legal capacity to enter into a binding contract
• Not be located in a jurisdiction where use of the Service is prohibited by law

We reserve the right to refuse access to anyone who does not meet these requirements.

Account Registration

To access the Service, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Keep your account credentials confidential
• Notify us promptly at legal@scrubapp.com if you suspect unauthorized access to your account
• Be responsible for all activity that occurs under your account

You may not share your account with others or create accounts on behalf of third parties without their consent.

Free Trial

We may offer a free trial period to new customers. During the free trial:

• You will have access to the Service at no charge for the duration of the trial period
• We reserve the right to modify or end trial features at any time
• At the end of the trial, you will be asked to select a paid subscription plan to continue using the Service; if you do not subscribe, your access will be suspended
• We may require a valid payment method to start a free trial, but you will not be charged until the trial ends

Trial eligibility is at our sole discretion. We reserve the right to limit trials to one per business.

Subscription Plans and Pricing

6.1 Plans

Scrub offers monthly and annual subscription plans. Plan details, features, and current pricing are published on our website and may be updated from time to time. By selecting a plan, you agree to the applicable fees.

6.2 Billing

All payments are processed through Stripe. By providing a payment method, you authorize Stripe to charge your payment method for the applicable subscription fees on a recurring basis. Stripe's terms and privacy policy apply to payment processing.

6.3 Monthly Subscriptions

Monthly subscriptions are billed on the same date each month. Your subscription renews automatically unless you cancel before the next billing date.

6.4 Annual Subscriptions

Annual subscriptions are billed upfront for the full year. Your subscription renews automatically at the end of the annual term unless you cancel at least 30 days before the renewal date.

6.5 Price Changes

We may change subscription pricing with at least 30 days' written notice to your registered email address. Price changes take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel before it takes effect.

6.6 Taxes

Prices do not include applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by tax authorities related to your subscription.

Cancellation and Termination

7.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at legal@scrubapp.com. Cancellation takes effect at the end of your current billing period. We do not provide refunds for unused time on monthly subscriptions or for the remaining portion of an annual subscription, except where required by applicable law.

7.2 Termination by Scrub

We may suspend or terminate your account at any time if:

• You breach these Terms and fail to cure the breach within 10 days of notice
• You use the Service in a way that poses a risk to other users, third parties, or us
• We are required to do so by law
• You fail to pay fees when due

We will provide reasonable advance notice where possible, except in cases of serious violations.

7.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law. You may export your data before termination using the tools provided in your account.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to engage in fraudulent, deceptive, or illegal activities
• Upload or transmit content that is unlawful, harmful, defamatory, or infringes any third-party rights
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access the Service without our express written consent
• Resell, sublicense, or otherwise make the Service available to third parties without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to process data or conduct activities prohibited by applicable law in your jurisdiction

Scrub AI

The Service includes an AI-powered assistant feature ("Scrub AI"). When using Scrub AI, you acknowledge that:

• Outputs generated by Scrub AI are automated and may not always be accurate, complete, or appropriate for your specific situation
• You are responsible for reviewing and verifying any outputs before relying on them for business decisions
• Scrub AI is not a substitute for professional legal, financial, accounting, or other regulated advice
• We do not guarantee that Scrub AI will be error-free or continuously available

We may update, modify, or discontinue Scrub AI features at any time.

Intellectual Property

10.1 Our Rights

The Service, including all software, content, features, designs, and trademarks, is owned by Scrub App Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership rights in the Service.

10.2 Your Rights

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations during your subscription term.

10.3 Your Content

You retain all ownership rights in the data, content, and information you upload or submit to the Service ("Customer Data"). By using the Service, you grant Scrub a limited license to process Customer Data solely as necessary to provide the Service to you.

We will not use your Customer Data to train AI models or for any purpose beyond providing and improving the Service for your account.

Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the Privacy Policy.

If you process personal data of your clients or team members through the Service, you are the data controller and Scrub acts as your data processor. A Data Processing Agreement ("DPA") is available upon request at legal@scrubapp.com and is incorporated into these Terms when executed.

Confidentiality

Each party may receive confidential information from the other in connection with the Service. Each party agrees to keep the other's confidential information confidential and not to use it for any purpose other than as necessary to use or provide the Service. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Third-Party Services

The Service integrates with third-party services, including Stripe for payment processing and Sentry for error monitoring. Your use of these services is subject to their own terms and privacy policies. We are not responsible for the practices, availability, or accuracy of any third-party service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SCRUB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• Any defects in the Service will be corrected
• The Service or the servers that make it available are free of viruses or other harmful components
• Results obtained from use of the Service will be accurate or reliable

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SCRUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Scrub App Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service in violation of these Terms
• Your Customer Data
• Your violation of any applicable law or third-party rights

Modifications to the Service

We may modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes where possible. Continued use of the Service after changes take effect constitutes acceptance of those changes.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and notify you by email or in-app notice if the changes are material. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Before initiating formal proceedings, each party agrees to attempt to resolve disputes informally by contacting the other party. If a dispute is not resolved within 30 days of informal notice, either party may pursue its legal remedies.

For EU, EEA, and UK customers: Nothing in these Terms limits your rights under applicable consumer protection laws in your country of residence. You may also have the right to refer complaints to your local alternative dispute resolution body or regulatory authority.

General

• Entire Agreement. These Terms, together with the Privacy Policy and any executed DPA, constitute the entire agreement between you and Scrub regarding the Service.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.
• Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely, including in connection with a merger, acquisition, or sale of assets.
• Notices. Notices to you will be sent to the email address associated with your account. Notices to us should be sent to legal@scrubapp.com.
• Force Majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, internet outages, or government action.
